NIST Says AI Agent Identity Is Broken. Here's What That Means for E-Signatures
On February 5, 2026, the National Institute of Standards and Technology published a concept paper that should worry every business owner using AI tools: "Accelerating the Adoption of Software and Artificial Intelligence Agent Identity and Authorization." The title is dry. The implications are not.
The paper acknowledges what many of us already suspect: AI agents are taking real-world actions — including signing documents, executing transactions, and making commitments — without proper identity frameworks in place. Nobody has agreed on how to verify that an AI agent is authorized to act on someone's behalf.
For a small business sending contracts, this matters more than you might think.
The Numbers Are Alarming
According to Gravitee's State of AI Agent Security 2026 report, published alongside the NIST announcement:
- 45.6% of teams still use shared API keys for agent authentication
- Only 21.9% treat AI agents as independent identity-bearing entities
- 88% of organizations experienced agent-related security incidents this year
- Less than 15% have formal agent authorization policies
In other words, nearly half of the AI agents operating today are authenticated with the digital equivalent of a shared office key. Anyone with access to that key can impersonate the agent, and the agent can impersonate anyone who holds the key.
Why This Matters for Contracts and E-Signatures
Consider a straightforward scenario. You use an AI assistant to prepare and send an NDA to a new client. The AI accesses your e-signature platform, fills in the template, sets the signing order, and sends it.
Now ask: how does the e-signature platform know the AI was actually authorized by you to send that specific document? How does the recipient know the signature request is legitimate? If the AI makes an error — wrong terms, wrong recipient, wrong document — who's responsible?
With shared API keys, the answer to all three questions is the same: nobody knows, and everybody's exposed.
What NIST Is Proposing
The NIST concept paper outlines a framework built on three principles:
- Agents need their own identities. Not shared credentials, not inherited permissions — distinct, verifiable identities tied to the specific agent and its authorized scope.
- Authorization must be explicit and scoped. An agent authorized to send NDAs should not automatically have permission to modify payment terms or access HR documents. Permissions should follow the principle of least privilege.
- Audit trails must connect actions to authorizations. Every action an agent takes needs a clear chain: who authorized the agent, what scope was granted, and what actions were actually performed.
These aren't revolutionary ideas. They're the same identity principles we use for human employees — badge access, role-based permissions, activity logs. But the AI industry has been moving too fast to implement them properly.
What This Means for SMBs Right Now
You don't need to wait for NIST to finalize standards to protect yourself. Here's what you can do today:
1. Know what your AI tools can access
If you're using any AI assistant that connects to your document or signing tools, check what permissions it has. Can it send documents on your behalf? Can it modify templates? Can it access all your signed agreements?
Most SMBs have never audited their AI tool permissions. Take 10 minutes to check.
2. Use platforms with built-in audit trails
Your e-signature platform should log every action: who initiated the signing request, when the document was viewed, when it was signed, and from what device. This audit trail is your first line of defense if something goes wrong.
Under both ESIGN and eIDAS, a proper audit trail is what makes an e-signature legally enforceable. Without one, you're trusting that nothing will ever be disputed.
3. Keep humans in the loop for high-stakes documents
AI agents are excellent at drafting, formatting, and routing documents. But for anything involving legal commitments — contracts, agreements, financial authorizations — a human should review and approve before sending.
This isn't about distrusting AI. It's about maintaining a clear authorization chain that would hold up in court if challenged.
4. Avoid platforms that rely on shared API keys
If your e-signature provider authenticates integrations through a single API key with broad permissions, that's the shared-office-key problem NIST is flagging. Look for platforms that support scoped, per-integration credentials with clear permission boundaries.
The Bigger Picture
NIST's paper is a signal. The federal government is acknowledging that AI agent identity is a real problem that needs standards, not just best practices.
For e-signatures specifically, this means the industry will eventually need to answer fundamental questions: Can an AI agent legally sign a contract? Under what conditions? With whose authority? And how do you prove it after the fact?
